Takeaway.com responds to announcements relating to the recommended all-share combination with Just Eat
The Management Board of Takeaway.com N.V. ("Takeaway.com") notes the announcement by Prosus N.V. ("Prosus") of a cash offer for Just Eat plc ("Just Eat") and the announcement by Just Eat rejecting the unsolicited offer by Prosus, each made on 22 October 2019.
Statement from Jitse Groen, CEO of Takeaway.com:
"Having been in the industry for nearly twenty years, I believe that a truly successful food delivery website is a highly profitable one, in a very sizeable food delivery market. Most food delivery websites currently do not fit that description, and in my opinion, will remain perpetually loss-making. It is only companies like Just Eat and, indeed, Takeaway.com, that achieve material profits in their bigger markets, and our merger needs to be seen in that context. We are in it for the long term.
The merger of Just Eat and Takeaway.com is going to create a superb company. It will benefit from leadership positions in what will be three of the world's largest profit pools: the UK, Germany and Holland. It will be a global leader, built around a solid, profitable, and proven business model. More importantly, it will be led by the most experienced team in the industry with more than 40 years of combined experience.
Takeaway.com started in my attic, and Jesper Buch created Just Eat in a basement. What ties us together is our ability to create value. Value for consumers and restaurants, value for employees and indeed, value for our respective shareholders.
We are looking forward to continuing our journey together with Just Eat."
